Menopause Accreditation Programme – Participation Agreement

1. Appointment and scope

Work Life People will provide the Organisation with access to the Programme and Accreditation Materials for the Term and will conduct Assessment in accordance with the agreed criteria.

The Programme is designed to support organisational learning and improvement. Accreditation reflects participation and demonstrated position at the time of Assessment.

Work Life People does not provide legal, HR, medical or employment advice, does not certify compliance with any law and does not guarantee outcomes. The Organisation remains responsible for its own policies, decisions and compliance with applicable laws (including employment, equality and health & safety) in its jurisdiction.

The Menopause Accreditation Programme is underpinned by Work Life People content and resources. Work Life People cannot assess third-party training as part of the Programme.

2. Organisation responsibilities

The Organisation will:
a) nominate a Programme lead and ensure timely cooperation (including providing information reasonably required for Assessment within agreed timescales)
b) ensure any internal communications and distribution of survey links/tools are done appropriately and in line with its internal cyber security requirements
c) ensure information provided to Work Life People is accurate and not misleading and
d) promptly notify Work Life People of any material changes that may affect Accreditation (e.g. restructuring, policy withdrawal, misuse of the Mark or material complaints/public findings relevant to menopause support).

The Organisation is responsible for determining how programme outputs are implemented and for all internal consultation/employee relations.

3. Assessment, award, refusal, suspension and revocation

Process. Work Life People will assess the Organisation’s submissions/outputs against the agreed criteria. Work Life People may request clarifications or further evidence where reasonably required.

Decision. Award of Accreditation (including any level) is subject to Work Life People’s decision acting reasonably and in good faith against the agreed Criteria.

Refusal / suspension / revocation. Work Life People may refuse to award Accreditation or may suspend or revoke Accreditation with immediate effect where:
a) the Organisation has not paid fees when due
b) the Organisation materially breaches this Agreement (including misuse of the Accreditation Mark or IP infringement)
c) Work Life People reasonably believes information provided was materially inaccurate or misleading
d) continued Accreditation would bring Work Life People or the Programme into disrepute or
e) required reassessment/renewal has not been completed by the due date

4. Term and renewal

This Agreement starts on the agreed start date and continues for the agreed term.
Unless stated, Accreditation (if awarded) is valid for 12 months from the award date.
Renewal (if offered) is subject to reassessment against the then-current criteria and payment of the applicable renewal fee.

5.  Fees and payment

Initial fee for sign-up to the Programme is £795 +VAT.

Additional fees for other services will be agreed.
Unless otherwise stated, invoices are payable within 14 days of invoice date.
Work Life People may suspend access to the Programme and/or use of the Accreditation Mark for overdue payments.
Late payments may accrue interest and recovery costs.

6. Intellectual property and permitted use

All IP rights in the Programme and Accreditation Materials belong to Work Life People (or its licensors).
Work Life People grants the Organisation a non-exclusive, non-transferable, revocable licence during the Term to use the Accreditation Materials internally for the Organisation’s own workplace development purposes.

The Organisation must not:
a) copy, publish, sell, sublicense or make the Accreditation Materials available to third parties (except to its personnel/contractors on a need-to-know basis for internal implementation)
b) use the materials to create competing products/services or
c) remove proprietary notices

7. Use of Accreditation Mark and statements

If Accreditation is awarded and remains valid, Work Life People grants the Organisation a limited, non-exclusive, revocable licence to use the Accreditation Mark only:
a) in the form issued by Work Life People (no alteration, cropping that misrepresents, re-colouring, animation or adaptations
b) in accordance with Work Life People brand/use guidelines notified to the Organisation  and
c) only during the period in which Accreditation is valid

The Organisation must not:
a) imply Work Life People has certified legal compliance or guaranteed outcomes
b) use the Mark in a misleading manner or
c) use the Mark after expiry, suspension or revocation

Work Life People may require the Organisation to remove the Mark and related claims within 5 business days of expiry/suspension/revocation (or immediately where public-facing misuse is material).

8. Confidentiality

Each Party will keep the other’s Confidential Information confidential and use it only to perform this Agreement.
Confidential Information excludes information that is public other than by breach, independently developed  or lawfully received from a third party.
A Party may disclose Confidential Information where required by law/regulator, subject (where lawful) to notice to the other Party.

9. Data protection

Each Party will comply with applicable data protection laws.
The Parties intend that Programme surveys/tools are used to gather organisational-level insights and should not require names, email addresses or other identifiers.

If any personal data is provided to Work Life People in connection with the Programme, the Parties will cooperate in good faith to ensure appropriate lawful handling and, where required, put in place a data processing agreement or other documentation reflecting the Parties’ respective roles.

10. Publicity

Unless the Organisation opts out in writing, Work Life People may list the Organisation’s name and Accreditation level (if awarded) on Work Life People’s website, LinkedIn profiles and marketing materials during the validity period.

11. Warranties and disclaimers

Work Life People warrants it will provide the Programme with reasonable care and skill.

12. Limitation of liability

Work Life People will not be liable for: loss of profits, loss of revenue, loss of business, loss of goodwill or indirect/consequential loss.
Work Life People’s total aggregate liability arising out of or in connection with this Agreement will not exceed the fees paid (or payable) by the Organisation in the 12 months preceding the event giving rise to the claim.

13. Termination

Either Party may terminate this Agreement immediately by written notice if the other Party commits a material breach and (if remediable) fails to remedy it within 14 days of notice.
Either Party may terminate immediately if the other becomes insolvent or enters administration/liquidation.
Work Life People may terminate or suspend access immediately for non-payment or serious misuse of the Accreditation Mark.

14. Consequences of termination/expiry

On expiry or termination:
a) all licences granted end immediately
b) the Organisation must stop using the Accreditation Mark and remove public claims

15. General

This Agreement constitutes the entire agreement and supersedes prior discussions.
Any variation must be in writing and agreed by both Parties.

Work Life People may update the Criteria at any time.
This Agreement is governed by the laws of Northern Ireland and the courts of Northern Ireland have exclusive jurisdiction.
