eLearning Terms of Business “Terms”
Interpretation
In these Terms, the following definitions apply:
| Content | Means the content provided by Work Life People Limited to the Licensee or Learner solely for use on the LMS. |
| Client | Means anyone who has purchased a course via this website and/or has the ability to assign Seats to a Learner. |
| Fees | Means the fees payable in respect of the licence(s) of the Content as set out on our website; |
| Learner | Means a person who has been assigned a Seat to a course and a username and password to login to the website. |
| Licence Agreement | Means the agreement between the Licensee and Work Life People Limited for access to and use of the Content pursuant to the terms set out below, as amended from time to time. |
| LMS | Means Work Life People Limited’s learning management system and website. |
| Non-Conformity | Means a failure of the elearning course Content to meet the requirements of the order form. |
| Permitted Purpose | Means for the personal use of the Licensee. |
| Seat | Means a course license assigned to a Learner by a Client. |
| Technical Failures | Means any bug, error, defect, incident or non-conformity of the elearning courses with its / their related documentation. |
Duration of Access to the e-learning Modules
Unless otherwise expressly specified by Work Life People Limited, the licence to use the elearning courses accessible on our elearning LMS is granted for a duration of 365 days starting from the delivery of the login to the Learner giving access to the elearning Content.
Scope of Users
Save express particular terms to the contrary covering, inter alia, the case of affiliated companies within a group of companies, the licence to use the elearning courses is granted solely to the Client having executed the order form and paid the total amount of the invoice.
A Client can purchase a license for their personal use or purchase multiple licences in the form of Seats for allocation to Learners.
Personal Licence to Use (Clients and Learners)
The login and the password to the LMS, must be strictly privileged under the exclusive responsibility of the Client. They may therefore not be sold, redistributed or shared.
The Client hereby guarantees to Work Life People Limited the due performance of this clause by any Learner and shall be responsible for any fraudulent or abusive use of login details. The Client shall inform immediately Work Life People Limited of any loss or theft of the user account login details.
Work Life People Limited reserves the right to discontinue the service, without any indemnity nor prior notice where it detects that there is fraudulent or abusive use of login details.
License Details
Permission is granted for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- modify or copy the materials;
- use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
- attempt to decompile or reverse engineer any software contained on the website;
- remove any copyright or other proprietary notations from the materials; or
- transfer the materials to another person or “mirror” the materials on any other server.
This license shall automatically terminate if a client or Learner violates any of these restrictions at any time.
Course Content
Please see the description of the course for details of the Contents of the available courses.
Except as set out in the description of the course on this website, no additional course materials will be provided by Work Life People Limited.
Cancellation Policy
This website allows access to course Content immediately after payment has been processed. Please carefully review all requirements and considerations before agreeing to purchase access to a course.
If a cancellation request is made by email or phone within 48 hours of purchase and prior to any access to course Content, we can provide a refund within 30 days. No refund will be provided after this 48 hour period. The refund will be made to the card or bank account used for the purchase.
Cancellations must be requested by emailing orders@worklifepeople.com.
Work Life People Limited reserves the right to charge an administration fee (10% of order value) for processing any cancellation request.
Because of the nature of these products it is not our policy to refund once access has been made to course Content via a username and password. All access to our Content is governed by a unique username and password. The username and password is part of a system which protects the security of the resource and enables us to monitor usage by any individual. When a refund request is received we reserve the right to track the usage by an individual (through his/her username and password). No refund will be granted if Work Life People Limited has reason to believe that an individual has viewed any of the course content that they purchased or were assigned via a Seat.
Course Extensions
You can purchase a 30-day extension through the website. The effective date will be based on the day that your course will expire.
If your course has already expired you can purchase a 30-day extension through the website. The effective date will be the date that the extension is granted to you. Extensions cannot be granted for courses that have expired by more than 60 days. In these circumstances, you will need to purchase a new license for the relevant course.
Once payment has been made your extension may take up to 2 business days to be granted.
Non-conformity or technical failures of the LMS and/or elearning Courses
Work Life People Limited does not guarantee uninterrupted or error-free operation of e-learning courses. Clients must promptly provide detailed evidence of any reported defects.
Liability exclusions:
- Work Life People Limited accepts no liability for technical issues or disruptions arising from Client equipment malfunctions, modifications, or misuse of the e-learning materials.
- Issues caused by third-party software or products not provided by Work Life People Limited.
- Events classified as force majeure or acts of God.
Data Protection
Work Life People Limited will process the information it receives from you or otherwise holds about you in accordance with these Terms and its privacy policy. You consent to the use by Work Life People Limited of such information in accordance with these Terms and our privacy policy. Marketing Rights
Work Life People Limited prides itself on providing quality services to a growing list of clients. In order to support our marketing programme, the Client grants Work Life People Limited the right to use its logo in marketing material and on our websites.
User and Learner Support
Work Life People Limited provides email support to end users and learners, between 9:00 a.m. and 5:00 p.m. Monday to Friday (excluding public holidays). The email address for support purposes can be found within the website’s footer.
B2B customers are entitled to end user support for technical issues. B2C customers (VAT charged on invoice) are entitled to end user support for technical issues and live tutor support (in respect of the course content) for all learners.
Accuracy of Materials
The materials appearing on Work Life People Limited’s website or in course Content could include technical, typographical, or photographic errors. Work Life People Limited does not warrant that any of the materials are accurate, complete or current. Work Life People Limited may make changes to the materials at any time without notice. However, Work Life People Limited does not make any commitment to update the materials.
Intellectual Property Rights
Participation in an elearning course does not confer any intellectual property rights (by implication or otherwise) on you to use, alter, copy or otherwise deal with any of the intellectual property of Work Life People Limited.
Disclaimer
The materials used on Work Life People Limited’s website and course Content are provided on an ‘as is’ basis. Work Life People Limited makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties, fitness for a particular purpose, or other violation of rights.
Further, Work Life People Limited does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website, course Content or otherwise relating to such materials or on any sites linked to this site.
Limitations
In no event shall Work Life People Limited or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on this website or course Content, even if Work Life People Limited or a Work Life People Limited authorised representative has been notified orally or in writing of the possibility of such damage.
General
Work Life People Limited may update or amend these Terms from time to time to comply with law or to meet its changing business requirements without notice to you. Any updates or amendments will be posted on the Website.
These Terms constitute the entire agreement and understanding between us and supersedes and replaces any other terms and conditions previously published by us and any other understanding, undertaking, representation, warranty, arrangement or statement of any nature whatsoever made by us to you, whether oral, written or otherwise, relating to the subject matter of these Terms.
You may not assign or sub-contract any of your rights or obligations under these Terms to any third party unless we agree in writing.
Work Life People Limited may assign, transfer or sub-contract any of its rights or obligations under these Terms to any third party at its discretion.
No relaxation or delay by Work Life People Limited in exercising any right or remedy under these Terms shall operate as waiver of that right or remedy or shall affect its ability to subsequently exercise that right or remedy. Any waiver must be agreed by Work Life People Limited in writing.
If any of these Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of these Terms shall remain in full force and effect.
Any notices required to be served on you by Work Life People Limited under these Terms will be deemed properly served if sent via prepaid postage to the postal address, or emailed to the email address, notified by you to Work Life People Limited at Work Life People Limited ‘s discretion. Any notices required to be served on Work Life People Limited by you will be deemed properly served if sent to the address noted below, or when receiving a reply from Work Life People Limited after contacting Work Life People Limited Learner Support.
A notice delivered personally is deemed to be given on the day on which it was left at the specified address. A notice sent by post is deemed to be given on the day it was posted as evidenced by the sender. A notice sent by email is deemed to be given on the day it was sent.
The agreement between you and Work Life People Limited will be concluded in English only.
The agreement between you and Work Life People Limited which is compromised in these Terms is not intended to be for the benefit of any third party, and shall not be exercised by any other person or otherwise.
Governing Law
These Terms (and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to these Terms) shall be governed by and construed in accordance with the laws of Northern Ireland. Each of the parties to these Terms irrevocably agrees that the courts of Northern Ireland shall have exclusive jurisdiction to hear and decide any suit, action or proceedings and/or settle any disputes, which may arise out of or in connection with these Terms and, for these purposes, each party irrevocably submits to the jurisdiction of the courts of Northern Ireland.
Acceptance of these Terms
By accessing the website or any course Content, you are agreeing to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing this site.
